In continuation of the Policy of the Government comprised in Press Note – 3 (2020 series) dated 17th April, 2020 the Ministry of Corporate Affairs vide its Notification dated 1st June 2022 amended the Companies (Appointment and Qualification of Directors) Rules, 2014. Accordingly, a proviso is now inserted in Rule 8 of the said Rules stating that if a person is a national of a country which shares land borders with India (namely Bhutan, Bangladesh, China, Hong Kong, Myanmar, Nepal and Pakistan) it is necessary for that person to obtain security clearance from the Ministry of Home Affairs, Government of India and a copy of the same shall be attached to application for allotment of DIN (e-form DIR-3). Hence, no DIN can be generated without verification of the said security clearance, where applicable. Further Form DIR-2 (Consent to Act as director) has also been amended to provide for necessary declaration in respect of the above, by a person before his appointment as a director. The Notification is silent on the DIN generated prior to 01st June, 2022 by persons who are national of the said countries.
